Job Summary

NetApp’s Field Legal Team is looking for a Commercial Corporate Counsel to join our world class legal department and partner with our cloud sales organization.  We are looking for a candidate who is agile, organized and excited to work with sales teams and drive growth in NetApp’s cloud business.  You will bring experience in commercial contracting, including experience in structuring, drafting, and negotiating SaaS, PaaS and IaaS agreements, as well as other enterprise technology agreements with customer and partners. You also will bring your experience in advising sales teams about the variety of issues touching their business, such as cloud technology, information security and data privacy.

Job Responsibilities:

  • Draft and negotiate cloud and enterprise technology agreements with customers and partners to enable sales opportunities while also complying with legal requirements and company policies.
  • Become a trusted partner to business clients and cross-functional stakeholders, and provide actionable guidance on legal issues and risks, data privacy and information security requirements and related contractual provisions.
  • Contribute to the continuous improvement of standard agreements and legal processes for customer and partner agreements, as well as to transformation projects designed to increase velocity and efficiency.
  • Partner with finance, information security, privacy, sales and product teams to drive customer deals to execution and design scalable processes for implementation.

Job Requirements

  • Strong understanding of software technology and cloud services, associated business models, and technology industry trends, including knowledge of laws and regulations as they apply to cloud services providers and customers (e.g., privacy, data handling, security, compliance requirements).
  • Ability to effectively synthesize, translate, and summarize complex policy topics for use by internal and external stakeholders.
  • Excellent verbal and written communication skills, and drafting and negotiation skills.
  • Proficient in MS Word, Outlook, PowerPoint, Excel.
  • Exceptional attention to detail and proven ability to self-direct work.
  • Solution-oriented:  You bring empathy and understanding to your conversations with customers, seeking to find a path forward that balances company risk and customer needs, and you think creatively beyond the legal terms to generate possible solutions and options for the business, while clearly articulating risk-based recommendations.
  • Ability to develop and maintain professional relationships and work well with senior-level and peer-level colleagues.
  • Team player with a good sense of humor and high level of integrity, responsibility and professionalism, and the ability to work in a dynamic, team-based deadline-oriented environment.

Education

  • JD with at least one state bar membership
  • 4+ years of experience in drafting and negotiating cloud-related agreements, and providing related advice in areas such as data privacy and information security
