TSMC Announces Dr. Mark Liu Not to Participate in Next Board of Directors Election

HSINCHU, Taiwan, R.O.C., Dec. 19, 2023—TSMC (TWSE: 2330, NYSE: TSM) today announced that its Chairman Dr. Mark Liu has decided not to seek the nomination of TSMC board membership for the next term and will retire from the Company after the 2024 Annual Shareholders Meeting. TSMC’s Nominating, Corporate Governance and Sustainability Committee of the board recommends vice chairman Dr. C.C. Wei succeed as the company’s next Chairman, subject to the election of the incoming board in June 2024.

Dr. Mark Liu joined TSMC in 1993 and assumed the role of chairman after Founder Dr. Morris Chang’s retirement since June 2018. During his tenure, Dr. Mark Liu has reaffirmed the Company’s commitment to its mission and focused on enhancing corporate governance and competitiveness particularly in technology leadership, digital excellence, and global footprint.

“The past 30 years with TSMC has been an extraordinary journey for me. I want to extend my sincerest thanks to our incredibly talented team who made the company the global leader it is today,” said TSMC Chairman Dr. Mark Liu. “It has been a privilege to serve as Chairman after our legendary Founder Dr. Morris Chang for such a world-renowned enterprise. I now would like to give my decades of semiconductor experience to other use, spend more time with my family, and start the next chapter of my life. I will continue to oversee the corporate governance with the Board diligently until the last day of this term. I am confident that TSMC will continue to perform outstandingly in the years to come.”

Congratulations to Mark on an exceptional career. TSMC is in great hands with C.C. I wonder who will be promoted to CEO? Wendell or someone more technical like C.C.
 
People are talking about Cliff Hou. This March he replaced Mark as the new chairman of TSIA (Taiwan Semiconductor Industry Association).

Cliff Hou would be my choice. Great leader! I really enjoyed working with him and he did great keynotes at TSMC events! He is also a no nonsense guy like CC Wei. They would be a great team!

WoW. That's very visionary to point out Cliff Hou 10 years ago.
There are a lot of SVP older than Cliff so it's still hard to say.
CC can be both Chairman and CEO at the same time just like Morris, so they might not appoint the successor of CEO next year. Wait to see.

On the other hand, rumors are floating around that Mark's retirement is due to his responsibility in the decision of building Arizona Plant.
(1) The subsidy tsmc might get from ChipAct is much less than the original estimation.
(2) A lot of conflicts with Unions.

We might never know the true reasons of Mark's retirement but get some clues from what tsmc acts next. Especially the progress of Arizona Plant.

That might be the dumbest thing I have ever heard from the rumor mill, and I have seen stuff that has actually had me laughing out loud it was so ridiculous. For one CUSTOMERS asked for US based manufacturing, and there is no company on earth more customer centric than TSMC. If customers want US manufacturing TSMC WILL give it. Number 2 is Mark oversaw a step function in TSMC revenue growth, margins, and TSMC's TD org leaping ahead of intel. Even if TSMC AZ is a disaster (which it isn't) a "mistake" like that isn't even on the same two or three orders of magnitude as what his accomplishments are.

I saw Mark at the GSA event:


Mark was Mark, no signs of change or distress. I do know that the president of TSMC AZ was replaced last year so maybe he was the fall guy. Customers pushed for TSMC to build in AZ but execution was an issue so that would be a lower level person not the CoB. Personally I think TSMC building around the world is a great decision. I am a true believer in the Silicon Shield and it gets stronger with every fab build.

I'm not convinced they will hire a CEO under CC Wei as CoB. CC can and should do both jobs. CC Wei will go down in the annals of semiconductor history as one of the best CEOs, along with Andrew Grove, Jensen Huang and Lisa Su.
