Overview of Role
TSMC North America is looking for a Corporate Counsel to join its team at our office in San Jose, CA. The ideal candidate can effectively process and prioritize multiple projects with competing deadlines, work under pressure, organize a vast amount and variety of information, consistently maintain a high-level of accuracy and attention to detail. A successful candidate must also have good interpersonal skills combined with the desire and capability to work in a dynamic, team-oriented environment. We currently work on a hybrid work schedule with 4 days in the office.
Responsibilities
- Assist in managing and prosecuting complex litigation.
- Assess company’s compliance with federal and state laws, with particular focus on employment laws and federal export laws.
- Assist in responding to inquiries from government agencies regarding compliance matters.
- Develop procedures and policies to ensure the company’s compliance with government regulations.
- Conduct regular reviews to identify potential weaknesses and noncompliance situations.
- Create and assist in implementing realistic action plans to ensure compliance with government regulations and effectively addressing noncompliance situations.
- Develop and execute on employee communication and education plans related to compliance.
- Collaborate and partner with internal technical and sales professionals to win business and strengthen customer relationships.
- Negotiate and draft technology transaction agreements, such as nondisclosure agreements, technology licensing agreements, and manufacturing agreements.
- Assist internal clients in complying with TSMC’s legal processes.
- Advise internal clients and ensure best practices in diverse legal areas.
Minimum Qualifications
- JD degree with a strong academic record.
- Minimum 8-10 years of legal experience with an emphasis on compliance efforts and litigation.
- Flexibility to accommodate moderate business travel.
- Motivated and detail-oriented; capable of prioritizing and multi-tasking in a fast-paced environment.
- Excellent communication and presentation skills; capable of articulating complex concepts and solutions.
- Demonstrated leadership with good facilitation and negotiation skills to secure support and guide cross-functional teams in achieving goals.
- Ability to work both independently and as a team player.
- Knowledge of fundamentals in U.S. employment laws (state and federal) and U.S. export laws.
- Demonstrable experience in compliance and risk management.
- Familiarity with developing and executing compliance management techniques.
- Experience in conducting audits and investigations and providing relevant strategies.
Preferred Qualifications
- Members of the California Bar.
- Semiconductor industry experience.
- A bachelor’s degree in science, technology, engineering, mathematics, finance, accounting, economics, law, business administration, or a related field.
- Mandarin speaking/writing at a business level.
