TSMC Shareholders Elect Board of Directors; Board of Directors Unanimously Elects Dr. C.C. Wei as Chairman and CEO

HSINCHU, Taiwan, R.O.C., June 4, 2024 – TSMC (TWSE: 2330; NYSE: TSM) today held its 2024 Annual Shareholders’ Meeting, which passed the following major resolutions:

1. Acknowledged the 2023 Business Report and Financial Statements. Consolidated revenue totaled NT$2,161.74 billion and net income was NT$838.50 billion, with diluted earnings per share of NT$32.34.

2. Approved amendments to TSMC’s Articles of Incorporation.

3. Approved the issuance of employee restricted stock awards (RSAs) for the year 2024.

4. Elected TSMC’s 16th Board of Directors. The ten Directors are: Dr. C.C. Wei, Dr. F.C. Tseng, Dr. Ming-Hsin Kung (Representative of the National Development Fund, Executive Yuan), Sir Peter Leahy Bonfield, Mr. Michael R. Splinter, Mr. Moshe N. Gavrielov, Dr. L. Rafael Reif, Ms. Ursula M. Burns, Ms. Lynn L. Elsenhans, and Dr. Chuan Lin. Seven of those elected, Sir Peter Leahy Bonfield, Mr. Michael R. Splinter, Mr. Moshe N. Gavrielov, Dr. L. Rafael Reif, Ms. Ursula M. Burns, Ms. Lynn L. Elsenhans, and Dr. Chuan Lin are independent directors.

After the Annual Shareholders’ Meeting, TSMC held the first meeting of the 16th Board of Directors, and the Board unanimously elected Dr. C.C. Wei as Chairman and Chief Executive Officer (CEO). The meeting will continue on June 5.
TSMC (TWSE: 2330, NYSE: TSM) created the semiconductor Dedicated IC Foundry business model when it was founded in 1987. In 2023, TSMC served 528 customers and manufactured 11,895 products for various applications covering a variety of end markets including high performance computing, smartphones, the Internet of Things (IoT), automotive, and digital consumer electronics.

Annual capacity of the manufacturing facilities managed by TSMC and its subsidiaries exceeded 16 million 12-inch equivalent wafers in 2023. These facilities include four 12-inch wafer GIGAFAB® fabs, four 8-inch wafer fabs, and one 6-inch wafer fab – all in Taiwan – as well as one 12-inch wafer fab at a wholly owned subsidiary, TSMC Nanjing Company Limited, and two 8-inch wafer fabs at wholly owned subsidiaries, TSMC Washington in the United States and TSMC China Company Limited. In August 2023, TSMC announced its plan to jointly invest in European Semiconductor Manufacturing Company (ESMC), in Dresden, Germany, to build a specialty technology fab. ESMC aims to begin construction of the fab in the second half of 2024 with production targeted to begin by the end of 2027.

TSMC continues to execute its plan to construct and operate two fabs in Arizona, the United States. Production of the first fab is targeted for the first half of 2025, and construction of the second fab is ongoing. The Company is also building a new fab in Kumamoto, Japan, with production targeted by late 2024.

The question is, will CC stay CEO and Chairman? Morris did. TSMC now has four Co-OOs being groomed for CEO I am told. It is called the COO-COO race by some. ;)

At age 71, CC Wei can serve his CEO/Chairman role for 4 to 6 years at least.

Y.P.Chyn and Y.J.Mii are like mentors for Cliff Hou and Kevin Zhang.
My guess is if there's any unexpected urgent situation that CC Wei steps down soon, Y.P. Chyn (72 years old) and Y.J. Mii (65 years old) will temporally be Chairman and CEO.
If it's a stable transition, then Y.P. Chyn and Y.J. Mii will retire and let Cliff Hou and Kevin Zhang (both <60 years old) take over.
