The Opportunity

The Legal Department is seeking an energetic person to take on the role of Contracts Administrator. In this critical role you will focus your efforts on providing all forms of contract-related support through all phases of the contract lifecycle. This position is responsible for processing new contract requests, creating and facilitating the review of new agreements, maintaining and cataloging executed agreements and ensuring our contracts repository is current and correct. This position reports to the Deputy General Counsel and can be based in San Jose or Toronto.   Hybrid-remote arrangements (occasional days in the San Jose or Toronto office) may be considered. Candidates will ideally live within commuting distance for occasional meetings.

What You Will Do

  • Perform routine and specialized administrative duties for the Legal Department’s contract operations.
  • Assist with coordination of emails coming into legal/contracts email inboxes.
  • Assist in the assignment of contracts for review.
  • Creation and review of non-disclosure agreements, general professional services agreements and common vendor contracts based on approved templates.
  • Track contracts through negotiation, approval, distribution, and execution process, including required follow-ups with legal, business, and finance.
  • Maintain executed contracts repository with close attention to detail, ensuring that signed contracts are uploaded to appropriate databases, captured accurately in tracking lists and handled appropriately.
  • Determine best practices to enhance contract processing throughout the company.
  • Respond to questions and direct inquiries regarding contracts and other matters.
  • Identify and summarize term, termination, payment, assignment and similar contract maintenance provisions and rights in executed agreements.
  • When requested, assist in sending distribution memo emails for fully executed agreements.
  • Create and maintain department reports.
  • Assist in the creation and review of data rooms, schedules and other contract-related matters for corporate development activities.
  • Draft, proofread and edit notices, contract related correspondence and other documents.
  • Perform administrative tasks, such as scheduling calls and video conference meetings and preparing and handling mailing and FedEx.
  • Perform other projects and duties as assigned.

What You Will Need

  • 2-year or 4-year college degree or equivalent work experience
  • At least 4-years relevant work experience (including internships)
  • Competency in Microsoft applications (including Word, SharePoint, Outlook and Teams) and Adobe Acrobat
  • Paralegal training and certificate would be an asset
  • Excellent organizational, time management and verbal and written communication skills a must
  • Accuracy, attention to detail and ability to multi-task
  • Ability to exercise professionalism, poise and tact in all correspondence and communications
  • Ability to set priorities under pressure
  • Willingness to take initiative to complete projects
  • Good judgment and practicality
